Indeed, any company established in Luxembourg requires a physical headquarters in the Grand Duchy of Luxembourg.
It is important that the office is real, to be considered as a permanent establishment in the country. The common error is to believe that it is enough to start a company in another country to enjoy the tax benefits of the said country.
To actively fight against the creation of "mailbox" company, the Luxembourg authorities have made changes concerning the right of establishment in Luxembourg. This applies particularly to companies aspiring to pursue a commercial activity to ultimately obtain a trade permit.
The Law of 2 September 2011 on the right of establishment clearly specifies the nature of the facilities to be made available to the company in these terms:

Art. 5. The company must have a fixed place of business in the Grand Duchy of Luxembourg which results in:
1. the existence of appropriate hardware installation, tailored to the nature and dimension of continuing operations;
2. the existence of an infrastructure with administrative facilities and technical equipment and facilities necessary for the performance of continuing operations;
3. the actual and permanent management activities;
4. the regular presence of the leader;
5. The fact of keep all the documents relating to activities, all records and documents relating to personnel management.
A domicile within the meaning of the amended law of 31 May 1999 on the domiciliation of companies does not constitute an establishment within the meaning of this section.
